Global alternative asset manager KKR has successfully concluded its acquisition of Hitachi Transport System Ltd., marking a significant move in the logistics sector. The transaction structure reveals that KKR holds controlling interest through subsidiary entities—HTSK Co., Ltd. operates as the 100% owner of voting shares in HTS, while HTSK Holdings maintains 100% ownership of HTSK. Under the partnership framework, Hitachi retains a 10% stake in HTSK Holdings, with KKR commanding the remaining 90%.

Transaction Timeline and Corporate Restructuring

The acquisition was executed through a three-step process. HTSK completed a cash tender offer that concluded on November 30, 2022, followed by a stock consolidation effective February 28, 2023, and a share repurchase from Hitachi completed on March 1, 2023. The newly consolidated entity represents a unified ownership structure positioning KKR as the primary strategic driver.

A comprehensive rebranding initiative takes effect April 1, 2023, when the company transitions to LOGISTEED, Ltd. The name fusion combines “Logistics” with “Exceed, Proceed, Succeed, and Speed”—symbolizing the organization’s ambition to expand operations into sectors beyond traditional logistics delivery. Concurrently, parent companies HTSK Holdings and HTSK will rebrand as LOGISTEED Holdings, Ltd. and LOGISTEED Group, Ltd., respectively.
