The company has engaged OTBC, an Oakville, Ontario-based marketing firm, through an agreement commencing October 22, 2024, and running through April 28, 2025. Warrant Extension Framework

In a related corporate action, Ucore Rare Metals has announced its intention to extend the maturity of 7,055,795 common share purchase warrants by twelve months. These equity instruments, originally distributed through a private placement that closed December 22, 2022, carry a $0.85 strike price and were initially structured with a 24-month lifecycle. The new expiration target is now set for December 22, 2025, with all other warrant provisions remaining intact.

The extension action involves a related party transaction, as Orca Holdings, LLC—which holds 1,785,000 of the warrants and is wholly-owned by board member Randy Johnson—qualifies as an insider entity. However, the transaction qualifies for exemption from MI 61-101 formal valuation requirements, as the transaction value represents less than 25% of market capitalization. The Board of Directors unanimously approved the extension, with Mr. Johnson appropriately recusing himself from deliberations.
