The deal, which was first announced in June, received overwhelming shareholder approval with 5.78 million votes (99.97% in favor) at ERL’s extraordinary general meeting yesterday.
What This Acquisition Means
The completion triggers the transfer of 50 million Genius Group shares held in escrow to ERL shareholders under a private placement. These shares will remain restricted for six months before distribution according to a 3-for-1 exchange ratio. With this, Genius Group rebrands ERL to “Genius Resorts” and begins integrating its portfolio of entrepreneur cafés and retreat spaces into the broader Genius City network.

ERL shared its post-acquisition strategy at the shareholder meeting, revealing aggressive expansion targets:
Genius Resort Blueprint: The combined entity plans to launch 20 Genius Resorts across tropical and desirable locations over the next five years. Each resort is projected to generate approximately $5 million in annual revenue through retreats, accelerators, and co-working spaces focused on the “ABCs to the Future” — AI, Bitcoin, and Community.
Genius City Expansion: The roadmap calls for 100 licensed Genius Cities within five years, each targeting roughly $1 million in revenue. Additionally, the group aims to develop five directly managed flagship Genius Cities, each with an estimated $20 million revenue potential. These learning hubs will provide AI-powered education spanning early childhood through adult mentoring and entrepreneurial apprenticeships.
Bali as Launch Pad: The first full-scale Genius City model, valued at $20 million, will debut in Bali, Indonesia, serving as the blueprint for global rollout.
