(NYSE American: ATCH) has wrapped up a $20 million financing round, marking a significant milestone for the company’s expansion into modernized financial services infrastructure. The round was spearheaded by Funicular Funds, LP, with meaningful co-investment from Sixth Borough Capital, signaling strong institutional confidence in the platform’s trajectory.

Financing Structure: Breaking Down the Deal

The capital structure reveals an interesting mix of instruments designed for long-term partnership:

Convertible Debt Portion: $10 million in convertible bonds carrying an 11% coupon over a 5-year period, with conversion pricing set at $0.75 per share.

Equity Investment: $10 million deployed as unit offerings at $0.60 per unit. Each unit bundles one common share with one warrant, creating upside participation opportunities for investors. Notably, $4.25 million of this came from converting existing debt obligations, resulting in net cash proceeds of approximately $15.75 million after accounting for the rollover.

According to management, this fresh capital will fuel several key initiatives. The company plans to accelerate correspondent onboarding—essentially bringing more financial institutions into its ecosystem—while simultaneously expanding into adjacent revenue streams. Executive Chairman John Schaible emphasized this as validation from existing backers who believe in the company’s strategic execution.

The expansion roadmap includes scaling operations, growing the team, and deploying proprietary technologies that management believes will create defensible competitive advantages in the increasingly crowded fintech clearing space.

AtlasClear isn’t building from scratch. The company operates Wilson-Davis & Co., Inc., a full-service correspondent broker-dealer with SEC and FINRA registration, plus memberships in both DTCC and NSCC—credentials that matter for institutional credibility. This entity brings decades of experience, having served the investment community since 1968.

The company is also pursuing the acquisition of Commercial Bancorp of Wyoming, parent of Farmers State Bank, a Federal Reserve member institution. This move signals ambitions beyond pure trading and clearing—the company is positioning itself as a vertically integrated player capable of offering brokerage, clearing, risk management, regulatory reporting, and commercial banking solutions from a single platform.
