WiseTech Global has announced a significant strategic move into North American landside logistics through its acquisition of Envase Technologies, marking a major consolidation in the fragmented transport management software space. The acquisition combines two complementary approaches to logistics software. WiseTech Global, which operates the widely-adopted CargoWise platform serving over 18,000 logistics companies across 170 countries, is adding Envase’s specialized expertise in intermodal transportation and drayage operations. The transaction will be funded through a 70/30 split of cash and equity: US$161 million in cash alongside US$69 million in newly issued WiseTech Global shares distributed to sellers including Firmament and other investors.

Envase is projected to contribute approximately US$35 million in annual revenue with an EBITDA margin positioning itself in the low to mid-20% range, demonstrating the profitability profile of specialized logistics software in the North American market. The transaction is anticipated to close in February 2023, with additional one-off costs of approximately US$10 million expected to be absorbed from existing reserves.

Envase brings a substantial operational footprint to the WiseTech Global portfolio. The company currently serves more than 1,300 customers across North America, spanning trucking operators, port facilities, depot operators, and warehouse networks. This acquisition strengthens WiseTech Global’s position within one of its six designated development priority areas: the landside logistics segment. By integrating Envase’s North American focus with CargoWise’s global reach and international logistics depth, the combined entity creates a more complete logistics execution solution. The fragmented nature of North American drayage and intermodal trucking has historically presented optimization challenges, which this platform consolidation aims to address.
